Part 1: Introduction and Acceptance of Terms

Welcome to Dektori ("Company,” "we,” "us,” or "our”). These Terms and Conditions ("Terms”) govern your access to and use of our platform, including our website at https://www.Dektori.com (the "Platform”). Dektori facilitates connections between individuals seeking telehealth services ("Users,” "you,” or "your”) and U.S.-licensed healthcare professionals ("Providers”) who offer medical consultations and services. By accessing or using the Platform, you acknowledge that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Platform. Your acceptance of these Terms is a condition to your use of the Platform and the services provided through it.

Part 2: Nature of Services

Dektori is a health education platform that enables Users to connect with independent, U.S.-licensed healthcare professionals ("Providers") who serve solely as health educators. These Providers offer general health education and wellness-related insights through the Platform based on the information you voluntarily share. Dektori itself does not provide medical advice, diagnosis, treatment, prescriptions, or any form of healthcare services. The Platform is not a medical practice, and it does not facilitate or offer professional medical care, second opinions, or physician-patient relationships. The purpose of the Platform is to promote health literacy and support Users in understanding common medical concepts, lifestyle approaches, and preventive wellness strategies from qualified educators. Any discussions that take place through Dektori are intended for informational and educational purposes only and are not a substitute for in-person clinical evaluation, diagnosis, or treatment by a licensed healthcare provider in your local jurisdiction.

Important Disclaimer: Providers using the Platform act solely in an educational capacity and are not engaged in the practice of medicine through Dektori. They do not provide official diagnoses or personalized treatment plans. Because no physical examination is conducted and because information is provided remotely, any responses should not be interpreted as medical advice or clinical judgment. You should never delay seeking professional medical care based on information obtained through the Platform. If you have specific health concerns, questions about a diagnosis, or require treatment, consult a licensed healthcare provider in your area. Dektori does not provide emergency services. If you are experiencing a medical emergency, you must call your local emergency number or visit the nearest emergency facility immediately.

Part 3: No Doctor-Patient Relationship with Dektori

Dektori is a technology platform that facilitates access to general health education and informational discussions. It does not engage in the practice of medicine, provide medical advice, or deliver clinical care. Your use of the Platform—including any communication with Dektori staff or access to content on our website—does not establish a doctor-patient, therapist-patient, or any other healthcare provider-patient relationship with Dektori. All content provided by Dektori, whether on the Platform or through customer support, is intended solely for informational and educational purposes. It is not a substitute for professional medical advice, diagnosis, or treatment. You should not disregard or delay seeking clinical care based on information obtained through Dektori.

 

If you choose to engage with a Provider through the Platform, your relationship is exclusively with that Provider in their independent capacity as a health educator—not as your treating physician. These interactions are not intended to constitute a clinical evaluation or the practice of medicine. The Provider does not conduct physical examinations, issue prescriptions, or diagnose or treat medical conditions through the Platform. Any insights offered are general in nature and should not be interpreted as personalized medical advice. Dektori does not supervise or control the content of health education sessions delivered by Providers, nor does it assume any responsibility for their views, opinions, or accuracy of the information shared. Dektori’s role is strictly limited to providing the administrative and technical tools that enable secure communication between users and independent Providers.

You acknowledge and agree that Dektori is not responsible for any medical decisions, follow-up care, or treatment you may pursue as a result of your session. Always consult a qualified healthcare professional in your local jurisdiction for diagnosis or treatment of medical conditions.

Part 4: Eligibility and User Responsibilities

By accessing or using the Platform, you represent and warrant that you are at least eighteen (18) years of age and have the legal capacity to enter into these Terms. If you are under 18 but at least 13 years of age, you may use the Platform only through an account owned by a parent or legal guardian with their permission, and your parent or legal guardian agrees to be bound by these Terms. If you are under 13, you are not permitted to use the Platform or the services.

You agree to provide true, accurate, current, and complete information when creating an account and when using the Platform. You are responsible for maintaining the security and confidentiality of your login credentials and for promptly notifying us of any unauthorized use of your account. You acknowledge that you are solely responsible for all activities that occur under your account. You agree to use the Platform only for lawful, personal, and non-commercial purposes and strictly in accordance with these Terms.

You agree not to engage in any of the following prohibited activities:

·      Misrepresent your identity, age, location, or health information.

·      Impersonate any individual or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.

·      Upload or transmit any viruses, malware, or other harmful code.

·      Interfere with or disrupt the integrity, security, or performance of the Platform or its servers.

·      Engage in unauthorized data collection, including scraping, crawling, or harvesting of content or data from the Platform.

·      Violate the privacy or rights of other users or Providers.

·      Create multiple accounts for yourself.

·      Engage in any behavior that is defamatory, trade libelous, unlawfully threatening, or unlawfully harassing.

·      Sublicense, resell, rent, lease, assign, or transfer any right, or share, broadcast, or otherwise commercially exploit or make the Platform or services available to any third party (except where you are a parent or legal guardian of a minor user).

·      Assert any proprietary rights in or to the Platform or its content.

·      Use the Platform to build a similar or competitive product or service.

We reserve the right to suspend or terminate your access to the Platform, without prior notice, if you violate these Terms or misuse the Platform in any manner. You understand that your compliance with these responsibilities is essential to maintaining the integrity and security of the Platform.

Part 5: Use Outside the United States — International Users

Dektori is based in the United States and operates under U.S. laws and regulations. Our services are specifically designed to connect users located outside the United States with U.S.-licensed Providers. If you access or use the Platform from outside the United States, you do so at your own initiative and are solely responsible for compliance with all applicable local, national, and international laws and regulations in your jurisdiction. By using the Platform from a location outside the United States, you expressly acknowledge and agree that:

·      The Platform is not intended to solicit or establish users in jurisdictions where its content, operation, or the provision of telehealth services by U.S.-licensed Providers would violate local laws, require local authorization, or constitute the practice of medicine in that jurisdiction.

·      The Providers are licensed to practice medicine in the United States and provide services based on U.S. medical standards. They may not be licensed to practice medicine in your jurisdiction.

·      You are solely responsible for determining whether your use of the Platform complies with the laws of your country of residence or the country from which you are accessing the Platform.

·      You should not use or rely on the Platform if doing so violates any law applicable in your location.

All medical consultations and content provided through the Platform are based on U.S. medical standards and regulations. You are strongly advised to consult with local healthcare professionals for any medical concerns, diagnoses, or treatment, especially if local laws or medical practices differ significantly from those in the U.S. Dektori makes no representation that the content or services are appropriate, lawful, or available for use in any particular location outside the United States.

Part 6: Privacy and Information Sharing

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy describes our practices regarding the collection, use, and disclosure of your information. By using the Platform, you acknowledge that you have read, understood, and agree to our Privacy Policy. Although Dektori does not provide healthcare services and is not subject to the Health Insurance Portability and Accountability Act of 1996 (HIPAA) as a covered entity or business associate, we voluntarily implement privacy and security safeguards similar to those required under HIPAA to help protect your personal health information (PHI).

You acknowledge and agree that any information you provide to Dektori or the Providers, including personal health information shared to obtain medical consultations, is provided voluntarily and solely for the purpose of receiving healthcare services. By using the Platform, you expressly consent to the transfer, storage, and processing of your data in the United States. You understand and acknowledge that U.S. privacy protections and data security laws may differ from those in your country of residence.

Dektori acts as a data controller for certain personal data and engages third-party service providers (data processors) for services such as translation, IT hosting, and payment processing. The legal basis for processing your personal data may include contractual necessity, your consent, vital interests, and our legitimate interests. We retain your data for as long as necessary for the purposes for which it was collected, or as required by law and for legitimate legal claims. You have certain rights regarding your personal data, including the rights to access, rectification, erasure, restriction of processing, data portability, objection, and withdrawal of consent. You also have the right to lodge a complaint with the relevant supervisory authority.

We implement comprehensive technical and organizational security measures to protect your information, including encrypted connections (SSL), authentication and authorization controls, access restriction mechanisms (firewalls and server/application security), security logging, secure data storage facilities, and need-to-know/role-based access control. Our system design follows industry best practices (such as OWASP guidelines), and we enforce measures such as strong passwords and automatic logout after periods of inactivity.

Part 7: Intellectual Property and Limited License

All content on the Platform, including but not limited to text, graphics, logos, images, audio clips, video clips, data compilations, software, and other materials, is the property of Dektori or its licensors and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You are granted a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Platform and its content for your personal, non-commercial use only, and strictly in accordance with these Terms. You may not modify, copy, reproduce, distribute, transmit, publicly display, publish, adapt, edit, or create derivative works from any content on the Platform without our prior written permission. You also agree not to use any framing techniques or meta tags incorporating Dektori’s name, trademarks, or other proprietary information without our express written consent. Furthermore, you may not reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or underlying ideas of the Platform or any part thereof. All rights not expressly granted to you in these Terms are reserved by Dektori and its licensors.

Part 8: Disclaimers and Limitation of Liability

The Platform and all content, information, and services provided on or through it are provided on an "as is” and "as available” basis, without any warranties of any kind, whether express, implied, or statutory. Dektori expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and accuracy. Dektori does not warrant that the Platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We make no warranties regarding the completeness, correctness, adequacy, usefulness, timeliness, or reliability of the content or services.

Your use of the Platform and any reliance on its content or services are entirely at your own risk. To the fullest extent permitted by applicable law, Dektori and its affiliates, officers, directors, employees, agents, licensors, and Providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to damages for lost profits, goodwill, use, data, or other intangible losses, arising from or related to your use of or inability to use the Platform. Your sole and exclusive remedy for dissatisfaction with the Platform is to stop using it. You assume full responsibility and all risks associated with your use of the Platform and any reliance on its content or services.

Part 9: Indemnification

You agree to indemnify, defend, and hold harmless Dektori, its affiliates, officers, directors, employees, agents, licensors, and Providers from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) that such parties may incur as a result of or arising from:

·      Your violation of these Terms

·      Your misuse of the Platform

·      Your violation of any law or the rights of any third party

·      Any content you submit or share through the Platform

This indemnification obligation includes, but is not limited to, claims arising from any unauthorized use of the Platform or any breach of your representations and warranties in these Terms. You agree to cooperate fully in the defense of any such claim as reasonably requested by Dektori. Dektori reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you shall not settle any matter without Dektori’s prior written consent.

Part 10: Dispute Resolution and Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law principles. In the event of any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform, you agree to first contact us at info@Dektori.com to attempt to resolve the matter informally. Most concerns can typically be resolved quickly and to the satisfaction of both parties. If a dispute cannot be resolved informally, you agree that such dispute will be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction. The arbitration shall take place in Boston, Massachusetts, unless otherwise mutually agreed by the parties.

You and Dektori agree that each may bring claims against the other only in your or its individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding. Unless both you and Dektori agree otherwise, no arbitrator or judge may consolidate more than one person’s claims or otherwise preside over any form of a representative or class proceeding. You further agree to waive any right to a jury trial in any dispute arising out of or related to these Terms or your use of the Platform.

Part 11: Termination

You may terminate your account at any time by discontinuing your use of the Platform and notifying us of your intent to close your account. Dektori reserves the right to suspend or terminate your access to the Platform, in whole or in part, without prior notice and at our sole discretion, for any reason, including but not limited to your violation of these Terms, misuse of the Platform, misrepresentation, or if your use of the Platform poses a risk to Dektori, its Providers, or other users. Additionally, Dektori may suspend or terminate your access for business or legal reasons, including changes in applicable laws or regulations. Upon termination, your right to access the Platform and any licenses granted to you under these Terms will immediately cease. We reserve the right to delete any data associated with your account, unless otherwise required to retain it by applicable law. You acknowledge and agree that Dektori shall not be liable to you or any third party for any termination of your access to the Platform. It is your responsibility to retain any personal data or content you may need prior to termination.

Part 12: Modifications to the Terms

We reserve the right to update or modify these Terms at any time in our sole discretion. When we make changes, we will revise the "Effective Date” at the top of this page and may also provide notice of significant updates by posting a prominent notice on the Platform or by sending an email notification. Your continued use of the Platform following the posting of revised Terms constitutes your acceptance of those changes. If you do not agree to the new or updated Terms, you must stop using the Platform immediately. It is your responsibility to regularly review these Terms to stay informed of any modifications. You understand and agree that Dektori shall not be liable to you or to any third party for any modification, suspension, or discontinuation of the Terms or the Platform as a whole.

Part 13: Entire Agreement and Miscellaneous

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Dektori regarding your use of the Platform and supersede all prior or contemporaneous agreements, communications, and understandings, whether oral or written, relating to the subject matter herein. If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect. No waiver by Dektori of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Dektori to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

You may not assign or transfer these Terms, or any rights or obligations hereunder, without our prior written consent. Dektori may assign or transfer these Terms, in whole or in part, without restriction. These Terms will be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns. The headings in these Terms are for convenience only and have no legal or contractual effect.

Part 14: Consultation Timing and Session Rules

14.1. Scheduling and Messaging: You may exchange messages with your assigned Provider for consultation-related preparation or inquiries up to 24 hours prior to the scheduled start of your session. After this 24-hour window, messaging support may no longer be available or guaranteed. All scheduling notifications, reminders, and relevant session details will be delivered through the Platform consistent with this timeframe.

14.2. Consultation Cancellation and Rescheduling: You may cancel a scheduled consultation without penalty by providing notice at least 24 hours before the scheduled start time. You may also reschedule a consultation by notifying the Provider or Dektori at least 6 hours prior to the originally scheduled start time. Cancellations or rescheduling requests made after these deadlines may be subject to reduced refund eligibility as set forth below.

14.3. Refund Eligibility: If you cancel a consultation at least 12 hours before the scheduled start time, you will be eligible for a full (100%) refund of any fees paid. Cancellations requested less than 12 hours before the session will result in a partial refund of 20% of the fees paid, with 80% retained as a cancellation fee. In all events where Dektori or the Provider cancels or is unable to hold the scheduled consultation (including but not limited to automatic session completion due to inactivity), you will receive a full (100%) refund of any fees paid.

14.4. Post-Consultation Issue Reporting and Escalation: You have 168 hours (seven days) after the conclusion of a consultation to report any issues, concerns, or complaints regarding the session. You must escalate any unresolved issues within the same 168-hour period following the consultation. Reports or escalations submitted after this 168-hour window will not be accepted or eligible for review.

14.5. Session Inactivity and Auto-Completion: If you become inactive or unresponsive during a live consultation, the Provider is required to end the session after five (5) minutes of continued inactivity. Additionally, if there is no activity from either you or the Provider within one hour of the scheduled session start time, the consultation will automatically be marked as completed (auto-completed), and any applicable refund or other session resolution process will apply.

14.6. Modification of Timing and Refund Rules: Dektori reserves the right to update or modify any of the consultation timing rules, cancellation policies, or refund eligibility criteria set forth in this section at any time in its sole discretion. Such changes may be made without personal notice to you. Updates will be reflected in the revised Terms and Conditions posted on the Platform, and it is your responsibility to review the Terms regularly to stay informed of any modifications. Your continued use of the Platform following such updates constitutes your acceptance of the revised Terms.

Part 15: De-identification of Medical Records

You acknowledge and understand that Dektori reserves the right to de-identify your medical records and other health information for Dektori’s internal use, including but not limited to research, service improvement, and commercial use. This process ensures that your personal identifying information is removed, and the de-identified data cannot be linked back to you. This de-identified data may be used to analyze trends, improve the Platform’s services, and for other legitimate business purposes, while maintaining your privacy.

Part 16: Digital Millennium Copyright Act (DMCA) Takedown Notice

Dektori respects the intellectual property rights of others and expects its users to do the same. If you believe that any content on the Platform infringes your copyright, you may submit a written notification to our designated Copyright Agent in accordance with the Digital Millennium Copyright Act ("DMCA”). Your notification must include substantially the following information:

1.    A physical or electronic signature of a person authorized to act on behalf of the copyright owner.

2.    Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works are covered by a single notification, a representative list of such works.

3.    Identification of the material that is claimed to be infringing or to be the subject of infringing activity, and that is to be removed or access to which is to be disabled, along with information reasonably sufficient to permit Dektori to locate the material.

4.    Information reasonably sufficient to permit Dektori to contact you (e.g., an address, telephone number, and an email address).

5.    A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law.

6.    A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the copyright owner.

Part 17: Linking and Framing

You may place a link to the Platform on another website in a fair and legal manner, so long as the link does not adversely affect the reputation of Dektori or its Providers. The link may not suggest any endorsement or approval of the other website by Dektori. You may not frame the Platform on any other website.

Part 18: Enforcement of Terms

Dektori reserves the right to determine whether there has been a violation of these Terms. If we determine that the Terms have been violated, we have the right to decide the appropriate action to take, which may include (but is not limited to):

·      Immediate termination of your right to use the Platform (whether temporary or permanent).

·      Immediate removal of any content posted by you to the Platform.

·      Issuance of a warning or other communication to you.

·      Legal proceedings against you, including seeking damages (including indemnification) and recovering all costs and losses suffered as a result of your violation of the Terms.

·      Other forms of legal proceedings against you.

·      Referral to law enforcement agencies for further action.

We will not be liable for any damages that you may suffer as a result of any of the foregoing actions.
